Abstract
The article analyses requirements and criteria that shall be used by bank board of directors in order to assess the suitability of its members. The analysis points out the compression of the shareholders’ power to freely choose the directors of the company. This reduction of power, arising from the principle of sound and prudent management, matches with the enhancement of the role of directors and, above all, of the supervisory authorities
