Abstract
The paper analyses the emerging tendencies in Europe and in the US regarding the role and the possible alternative models of corporate governance in the largest corporations. In brief, it seems not possible to find a sort of lowest common denominator to identify a standard of correctness in the relationship among Directors and Shareholders. At this regard the alternatives provided by Italian law (monistic, dualistic and so called traditional model) seem equivalent, although the Italian monistic model is certainly the nearest to the Anglo-Saxon experience, that strongly influenced the self regulating code for Italian listed companies.
